Learning Management System (LMS) Subscriptions and Course Purchases
- Introduction
These Terms and Conditions (“Terms”) govern all subscriptions, course purchases, and use of the SMART Community Exchange, LLC and SMART Education Exchange and SMART Community Programs learning management systems (collectively, “SCE LMS,” “we,” “our,” or “us”). By creating an account, purchasing a subscription, enrolling in a course, or accessing any SCE LMS content, you (“User,” “Learner,” “Subscriber,” or “you”) agree to be bound by these Terms.
If you do not agree to these Terms, you must not use the SCE LMS.
- Eligibility
Use of the SCE LMS is limited to individuals who:
- Are at least 18 years old, or have parental/guardian consent
- Have the legal capacity to enter into binding agreements
- Comply with all applicable laws and regulations
Organizations purchasing group licenses must ensure all authorized users comply with these Terms.
- Accounts and Access
3.1 Account Registration
Users must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials.
3.2 Authorized Use
Your subscription or course purchase grants you a non‑exclusive, non‑transferable, limited license to access SCE LMS content for personal or organizational training purposes.
3.3 Prohibited Activities
Users may not:
- Share login credentials with others
- Copy, download, or distribute course content without written permission
- Circumvent access controls or attempt to access restricted areas
- Use the LMS for unlawful, harmful, or disruptive purposes
Violation may result in suspension or termination of access without refund.
- Subscriptions and Course Purchases
4.1 Subscription Types
SCE LMS may offer:
- Individual subscriptions
- Organizational or enterprise licenses
- Course bundles
- One‑time course purchases
- Sponsored access through Exchange Partners
Each subscription type includes specific features and access levels described at the time of purchase.
4.2 Payment Terms
All fees must be paid in full at the time of purchase unless otherwise stated. Prices are listed in U.S. dollars and may be subject to taxes or processing fees.
4.3 Renewal
Subscriptions may renew automatically unless canceled before the renewal date. Renewal terms and pricing will be displayed at checkout.
4.4 Refunds
All sales are final. Refunds are not provided except where required by law or explicitly stated in a written agreement.
- Course Access and Completion
5.1 Access Period
Course access is granted for the duration of your subscription or for the access period specified at purchase.
5.2 Certificates
Learners may receive certificates of completion when all course requirements are met. Certificates:
- Are issued digitally
- May be co‑branded with partner organizations
- Do not represent professional licensure unless explicitly stated
5.3 Course Updates
SCE may update, modify, or retire courses at any time to maintain quality and relevance.
- Intellectual Property
All content within the SCE LMS—including text, videos, graphics, assessments, branding, and downloadable materials—is the exclusive property of SMART Community Exchange, SMART Education Exchange, or their content partners.
Users may not:
- Reproduce, distribute, or publicly display content
- Create derivative works
- Use SCE trademarks or logos without written permission
Limited personal use is permitted solely for learning and training purposes.
- Data Privacy and Security
We collect and process personal information in accordance with our Privacy Policy. By using the LMS, you consent to the collection and use of your data for:
- Account management
- Course delivery
- Certification
- Analytics and platform improvement
Users are responsible for maintaining secure access to their accounts.
- Third‑Party Tools and Integrations
Some courses or LMS features may integrate with third‑party platforms. SCE is not responsible for:
- Third‑party content
- Service interruptions
- Data handling practices of external providers
Use of third‑party tools is at your own discretion.
- Organizational and Partner Access
Organizations purchasing group licenses or Exchange Partner packages are responsible for:
- Managing authorized users
- Ensuring compliance with these Terms
- Maintaining accurate user rosters
SCE may revoke access for misuse or non‑compliance.
- Termination and Suspension
SCE may suspend or terminate access if:
- Terms are violated
- Fraudulent activity is detected
- Payment is not received
- Content is misused or redistributed
Termination does not entitle the user to a refund.
- Disclaimers
The SCE LMS and all content are provided “as is” without warranties of any kind. SCE does not guarantee:
- Course outcomes
- Employment or certification results
- Uninterrupted platform availability
Users assume all responsibility for how they apply the knowledge gained.
- Limitation of Liability
To the fullest extent permitted by law, SCE is not liable for:
- Indirect, incidental, or consequential damages
- Loss of data, revenue, or business opportunities
- Platform downtime or technical issues
Total liability will not exceed the amount paid for the subscription or course.
- Changes to Terms
SCE may update these Terms at any time. Continued use of the LMS after changes are posted constitutes acceptance of the updated Terms.
- Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict‑of‑law principles.
